Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement ("Agreement") is entered into by and between Phren Inc. ("Phren") and any individual or entity ("Recipient") accessing any proprietary information via phrencorp.com, its subpages, or related communications.

1. Definition of Confidential Information

Confidential Information includes all software, communications, designs, documentation, business plans, internal tools, and any content or ideas shared directly or indirectly by Phren™ that is not publicly available.

2. Obligations of Recipient

The Recipient agrees not to disclose, reproduce, or share Confidential Information, and to use it only for the purpose of evaluating Phren's offerings. The Recipient shall exercise the same degree of care in protecting Phren's information as they would with their own.

3. Exclusions

This Agreement does not apply to information that: (a) is or becomes public through no fault of the Recipient, (b) was known prior to disclosure, or (c) is independently developed without access to Phren's information.

4. Term

This Agreement remains in effect for five (5) years after access is granted, or until Confidential Information becomes public, whichever is longer.

5. Remedies

Breach of this Agreement may cause irreparable harm. Phren™ reserves the right to seek legal or equitable remedies including injunctive relief.

6. Governing Law

This Agreement is governed by the laws of the State of Pennsylvania. Any legal action shall be filed in Allegheny County, PA.
